Terms of Service

These terms govern the provision of transformation consulting services by brainatwork.info.

1. Scope of Services

brainatwork.info provides professional consulting services focused on: Gen-AI transformation and adoption strategies, Microsoft 365 & Power Platform optimization, Digital workplace transformation, Culture change leadership. Specific deliverables, timelines, and fees are defined in individual engagement agreements.

2. Engagement Process

Initial Contact: Submit inquiry via contact form or email. Discovery Call: No-obligation conversation to understand your challenges. Proposal: Written proposal with scope, deliverables, timeline, and fees. Engagement: Signed agreement required before work commences.

3. Client Responsibilities

Successful engagements require client commitment to: Provide timely access to relevant stakeholders, Share necessary information and documentation, Respond to requests within agreed timelines, Implement agreed action items.

4. Confidentiality

All client information, business data, and engagement details are treated as strictly confidential. Non-disclosure agreements (NDAs) are available upon request and recommended for enterprise engagements. Case studies or testimonials will only be published with explicit written permission.

5. Intellectual Property

Client owns all deliverables created specifically for their engagement. General methodologies, frameworks, and templates remain the property of brainatwork.info. Pre-existing intellectual property of either party remains their respective property.

6. Fees and Payment

Fees are specified in engagement agreements (fixed-price or day-rate basis). Payment terms typically NET 30 days from invoice date. Travel expenses billed separately when applicable. Late payments subject to interest in accordance with local commercial law.

7. Cancellation and Termination

Either party may terminate engagement with 30 days written notice. Client responsible for fees for work completed to termination date. Immediate termination allowed for material breach by either party.

8. Limitation of Liability

Our services constitute professional advice and recommendations. Implementation decisions and execution remain the client's responsibility. Liability is limited to the fees paid for the specific engagement, except in cases of gross negligence or willful misconduct.

9. Warranties and Disclaimers

Services provided with professional care and industry best practices. No guarantee of specific business outcomes or results. Recommendations based on information provided by client.

10. Governing Law and Jurisdiction

These terms are governed by Danish law. For EU clients, applicable EU regulations take precedence. Disputes shall be resolved through good-faith negotiation. If unresolved, Copenhagen courts have jurisdiction.

11. Changes to Terms

These terms may be updated periodically. Active engagements continue under terms agreed at engagement commencement. Last updated: November 2, 2025
